MemoAmmo — Terms of Service

1. Acceptance of Terms

By downloading, installing, or using MemoAmmo ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. The App is developed and operated by KSD Inc., an Ontario corporation ("KSD Inc.", "we", "us", "our").

2. Description of Service

MemoAmmo is an iOS application that allows you to:

• Import, organize, and manage audio files on your device
• Transcribe audio recordings into formatted text using AI-powered transcription (OpenAI Whisper and GPT-4)
• Export audio files and transcription documents (Markdown, PDF, RTF, DOCX, TXT) via AirDrop, email, or other share methods
• Access transcription features from other apps via the iOS Share Extension
• Merge multiple transcriptions into a single document

3. Subscriptions and Purchases

Free Tier: MemoAmmo offers basic audio file management at no cost without an account or login.

Transcription Subscription: AI transcription requires an active subscription. Subscriptions are available on a monthly or annual basis and include 30 minutes of transcription per month.

Additional Minutes: If you exceed your monthly transcription allowance, you may purchase additional 30-minute blocks as one-time consumable in-app purchases. Purchased minutes are added to your current month's allowance. Unused purchased minutes carry forward but are consumed before the next month's free allowance.

Payment: All purchases and subscriptions are processed through the Apple App Store. By subscribing, you agree to Apple's terms of purchase. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period.

Cancellation & Refunds: You can manage or cancel your subscription through your Apple ID settings. Refund requests should be directed to Apple, as they handle all billing. We do not offer direct refunds for in-app purchases or subscriptions.

4. User Content & Audio Data

You retain full ownership of your audio files and transcription content. By using the transcription feature, you grant us a limited, temporary license to transmit your audio data to our server and to OpenAI's API for the sole purpose of providing the transcription service.

We do not permanently store your audio files or transcription results on our servers. Audio data is processed in memory and discarded once the response is returned to your device.

You are responsible for ensuring you have the right to record, transcribe, and share any audio content you process through the App.

5. Acceptable Use

You agree not to use MemoAmmo to:

• Transcribe or distribute audio recordings obtained without proper consent where required by law
• Process content that is illegal, harmful, threatening, defamatory, or otherwise objectionable
• Attempt to reverse-engineer, decompile, or disassemble the App
• Circumvent usage limits, subscription requirements, or any security measures
• Use the service in any way that violates applicable local, state, national, or international law

6. Transcription Accuracy

The AI transcription service is provided on an "as-is" basis. While we strive for accuracy, transcription results depend on audio quality, language, accents, background noise, and other factors. We do not guarantee that transcriptions will be error-free or complete.

You should review all transcription output before relying on it for any important purpose. MemoAmmo is not intended for use in contexts where transcription errors could cause harm (e.g., medical, legal, or safety-critical applications) without human verification.

7. Service Availability

The transcription feature requires an active internet connection and depends on third-party services (OpenAI, Vercel). We do not guarantee uninterrupted or error-free service. We may temporarily suspend or modify the service for maintenance, updates, or factors beyond our control.

Audio file management features (importing, organizing, and exporting audio files without transcription) work offline and do not depend on our servers.

8. Intellectual Property

The App, including its design, code, graphics, and branding, is the intellectual property of KSD Inc. and is protected by applicable copyright and trademark laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal purposes in accordance with these Terms.

9. Limitation of Liability

To the maximum extent permitted by law, KSD Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of MemoAmmo. This includes, without limitation, damages for loss of data, loss of profits, or interruption of service.

Our total liability for any claim arising from or related to the App shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or CAD $50, whichever is greater.

10. Disclaimer of Warranties

MemoAmmo is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, secure, or error-free, or that transcription results will be accurate or complete.

11. Termination

We reserve the right to suspend or terminate your access to the transcription service if we reasonably believe you have violated these Terms. You may stop using MemoAmmo at any time by deleting the App from your device.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

13. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of MemoAmmo after changes are posted constitutes your acceptance of the revised Terms.
