TXTC — Terms of Service

1. Acceptance

These Terms govern your use of TXTC ("the Service"), a study-tool web app operated by KSD Inc., an Ontario corporation ("KSD Inc.", "we", "us"). By using TXTC you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What TXTC Does

TXTC turns content you provide — pasted text or AI-chat exports, a website URL, or a specific YouTube video URL — into study material such as Q&A, Tabrows, and flashcards. To do this it may read a page's text, fetch available captions, or transcribe a video's audio, then use AI to generate study questions about the content. Generated study material is derived, transformed output intended for personal learning and private study.

3. Subscriptions & Usage

AI features require an active subscription and may be subject to monthly usage limits. Billing is handled by Stripe. Except where required by law, fees are non-refundable; cancel before your next renewal to avoid further charges.

4. Your Content & Third-Party Material

You may submit text, AI-conversation exports, website URLs, and YouTube video URLs ("Inputs"). You are solely responsible for the Inputs you submit and for your use of the generated output. You represent and warrant that you have all rights necessary to submit each Input and to create study material from it, and that doing so does not infringe any third party's copyright or other rights or violate any applicable law or the terms of any third-party platform (including the terms of the site or video service the content comes from).

TXTC is a tool that acts on content you choose. We process Inputs transiently to generate your output and do not republish source transcripts. You should only submit content you own, have permission to use, or are otherwise permitted to use for private study under applicable law (e.g., fair dealing / fair use). You agree to indemnify KSD Inc. against claims arising from Inputs you submit in breach of this section.

5. Copyright — Notice & Takedown

We respect intellectual-property rights and respond to valid infringement notices. If you believe content processed through TXTC infringes your rights, send a notice to our designated contact with: (a) your contact information; (b) identification of the work claimed to be infringed; (c) identification of the material at issue and enough detail to locate it; (d) a statement that you have a good-faith belief the use is not authorized; (e) a statement, under penalty of perjury, that your notice is accurate and you are authorized to act for the rights-holder; and (f) your physical or electronic signature.

6. Acceptable Use

You agree not to: submit content you have no right to use; use TXTC to infringe others' rights or violate any law; circumvent usage limits or security; or attempt to reverse-engineer the Service. We may suspend or terminate access for violations.

7. AI Output & Accuracy

Study material is generated by AI from the content you provide and may contain errors or omissions. Review output before relying on it. TXTC is a study aid, not a source of authoritative fact.

8. Intellectual Property

TXTC, including its design, code, and branding, is the property of KSD Inc. You receive a limited, non-exclusive, non-transferable license to use it for personal study in accordance with these Terms.

9. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, KSD Inc. is not liable for indirect, incidental, special, or consequential damages, and our total liability shall not exceed the amount you paid us in the 12 months before the claim, or CAD $50, whichever is greater.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes are subject to the exclusive jurisdiction of the courts of Ontario, Canada.

11. Changes

We may update these Terms; material changes will be posted here with a revised "Last updated" date. Continued use after changes constitutes acceptance.
