0. Company and Scope

These Terms of Service are entered into between you and KSD Inc., an Ontario corporation with its registered office at 4889 A Dundas Street West, Suite 3, Etobicoke, Ontario, M9A 1B2, Canada ("KSD Inc.", "we", "us"). These Terms govern your use of Tabrows and any related websites, applications, and services (collectively, the "Service").

1. Acceptance of Terms

By accessing and using Tabrows ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

Tabrows provides an overlay and automation control room service that helps users manage their browser workflows and automation tasks. The Service includes both a Chrome extension and native applications for macOS and Windows.

Unless prohibited by applicable law or sanctions, the Service is available worldwide. You are responsible for ensuring that your access and use comply with the laws of your location.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept all responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

4.1 Free Trial: We offer a 3-day free trial for new users. No credit card is required to start the trial. After the trial period, you will be automatically enrolled in your chosen plan unless you cancel.

4.2 Subscription Plans: We offer multiple subscription tiers (Basic, Flex, Pro, and Premium) with different features and pricing. You can choose between monthly and annual billing.

4.3 Payment: By providing a payment method, you authorize us to charge all subscription fees incurred through your account to that payment method.

4.4 Pricing Changes: Our pricing tiers are experimental and may evolve. We reserve the right to change our pricing and tier limits at any time. We will provide notice of any pricing changes at least 30 days in advance.

4.5 Currency and Billing: All prices are listed and charged in USD. Your bank or payment provider may apply currency conversion or foreign transaction fees. Recurring charges are processed in USD and billing periods and notices are calculated based on UTC, unless otherwise stated.

4.6 Taxes: Prices are exclusive of any applicable taxes (including VAT/GST/HST, sales or similar taxes). We may collect and remit taxes where required by law. If we do not collect taxes, you are responsible for determining and paying any taxes due in your jurisdiction.

5. Cancellation and Refunds

5.1 Cancellation: You may cancel your subscription at any time from your account portal. Cancellation will take effect at the end of your current billing period.

5.2 Refunds: ALL PAYMENTS FOR SUBSCRIPTIONS AND PURCHASES ARE NON-REFUNDABLE, except where required by applicable law. If you no longer want to be charged on a recurring basis, you must cancel before the end of your current billing period. Changes to or removal of features do not entitle you to a refund or credit. Limited exceptions may be made for (i) significant technical issues that prevent use and cannot be resolved, (ii) duplicate charges, (iii) legal requirements, or (iv) verified unauthorized charges. 6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Distribute malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any illegal or unauthorized purpose
  • Scrape, spider, or crawl the Service

You must comply with applicable export control and sanctions laws (including Canadian measures). You may not access or use the Service if you are located in a prohibited jurisdiction, are a restricted party, or for any prohibited end use.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Tabrows and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. User Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

9. Disclaimers and Limitation of Liability

9.1 Service Availability: The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

9.2 Limitation of Liability: To the maximum extent permitted by law, Tabrows shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

9.3 Feature Performance and Third-Party Dependencies: Features and their performance may vary depending on your system configuration, browser version, operating system, and third-party platform changes (including YouTube and other websites). Certain features rely on third-party platforms and browser APIs outside our control. We make reasonable efforts to deliver described features but do not guarantee specific performance metrics, memory savings, exact timing accuracy, or that all features will work in all circumstances. Feature limitations, variations in performance, or third-party dependencies do not qualify for refunds.

10. Dispute Resolution

If a dispute arises, please contact us first at ksdcontactus@gmail.com so we can attempt to resolve it informally. Subject to any mandatory consumer-protection rights, you and KSD Inc. agree that disputes not resolved informally will be brought exclusively in the courts located in Toronto, Ontario.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting a notice on the Service or sending you an email. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13. Governing Law

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Nothing in these Terms limits any non-excludable consumer rights under the laws of your country or state of residence. If any provision conflicts with such rights, that provision will apply only to the extent permitted by applicable law.

These Terms are provided in English. Any translation is for convenience only, and the English version controls.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions will continue in full force and effect.
